These Terms of Service ("Terms") govern your use of Requiply's rental management platform and related services. By creating an account or using our services, you agree to these Terms. Please read them carefully.

1. Key Definitions

To help you understand these Terms, here's what key terms mean:

Account: Your personal business account on Requiply that gives you access to the platform and its features.
Agreement: The contract between you and Requiply, which includes these Terms and any additional agreements you sign with us.
Customer / You: Any business (company or sole proprietor) that signs up for and uses Requiply services.
Platform: The Requiply software system accessible through our website (requiply.com) and mobile app.
Service Plan: The subscription package you choose (e.g., Basic, Professional, Enterprise) that determines which features you can access and how much you pay.
Services: Everything Requiply provides: the platform, CRM system, website builder, payment integrations, inventory management, and all other features.
Customer Data / Your Data: All information, content, and files you upload or create in Requiply - your customer lists, rental records, photos, etc.
Trial Period: The free 14-day period where you can test Requiply with full access to paid features.

2. Account and Registration

2.1. Creating Your Account

You can start using Requiply by:

  • Completing the online registration form and receiving confirmation from us; or
  • Signing an individual agreement with us directly.
2.2. Account Security - Your Responsibility

You must:

  • Keep your username and password secure and confidential
  • Not share your login credentials with anyone
  • Immediately notify us if you suspect unauthorized access
  • Accept responsibility for all activities under your account
2.3. Eligibility

To use Requiply, you must:

  • Be at least 18 years old
  • Be legally able to enter into contracts
  • Use the service for business purposes (not personal use)
  • Provide accurate and complete information

3. Services We Provide

3.1. What Requiply Offers

Our platform provides rental business management tools including:

  • CRM system for managing customers and rentals
  • Website builder for creating your rental website
  • Payment processing integrations
  • Inventory management tools
  • Booking and reservation systems
  • Additional features based on your Service Plan
3.2. Service Plans

Your access to features depends on your chosen Service Plan. Different plans offer different features and pricing.

3.3. Third-Party Integrations

Some features integrate with third-party services (like payment processors). To use these:

  • You must register with the third party
  • You must accept their terms and conditions
  • We're not responsible for how third-party services work
  • Any issues with third-party services should be directed to them
3.4. Our Commitment

We commit to providing services with reasonable care, skill, and expertise. However, we cannot guarantee uninterrupted or error-free service.

4. Free Trial Period

4.1. 14-Day Free Trial

New customers can try Requiply free for 14 days. The trial includes access to paid features without charge.

4.2. How to Start
  • Request trial access through our website
  • Or receive trial access during registration
  • Trial starts when you activate your account
4.3. After Trial Ends
  • Choose a paid plan to continue with full access
  • Or continue with limited free features if you don't select a paid plan
  • Your data remains safe - we don't delete it
4.4. Trial Limitations
  • One trial per customer/business
  • We reserve the right to deny trial access in cases of suspected abuse
  • Cannot be combined with other promotional offers unless stated

5. Subscription Plans and Renewals

5.1. How Plans Work

When you choose a paid plan, you subscribe for an initial period (monthly, annually, etc.). Your plan automatically renews unless you cancel.

5.2. Automatic Renewal

Your plan renews automatically for the same period length. To cancel renewal, notify us:

  • Monthly plans: At least 7 days before renewal date
  • Longer plans: At least 30 days before renewal date
5.3. Price Changes

We may change prices. We'll notify you in advance:

  • Monthly plans: 14 days notice before the change
  • Longer plans: 60 days notice before the change

If you continue using the service after the notice period, you accept the new prices.

5.4. Upgrading or Downgrading
  • You can upgrade your plan at any time - changes take effect immediately
  • Downgrades typically take effect at your next renewal date
  • Some features may become unavailable when downgrading

6. Pricing and Payment

6.1. Pricing

Plans start from €14 per month. Exact pricing depends on your chosen plan and features.

6.2. What's Included in the Price
  • All prices are shown excluding VAT (if applicable)
  • Additional taxes or fees may apply based on your location
  • Invoices will show final amount including all applicable taxes
6.3. Payment Terms
  • Payments are due in advance for each billing period
  • You have 30 days from invoice date to pay
  • We accept payments in EUR or UAH (at NBU exchange rate on payment date)
6.4. Late Payments

If payment is late:

  • You'll be charged statutory interest on overdue amounts
  • We may suspend your access until payment is received
  • You're responsible for any collection costs
  • We may terminate your account for repeated late payments
6.5. Refund Policy
  • Payments are generally non-refundable
  • If we terminate the agreement (not due to your breach), you may receive a prorated refund
  • No refunds for partial month usage
  • Canceling your subscription stops future charges but doesn't refund the current period
6.6. Payment Methods

We accept payment through our integrated payment processors. You must comply with their terms as well.

7. Your Data and Privacy

7.1. You Own Your Data

All data you upload or create in Requiply remains yours. We don't claim any ownership of your content, customer information, or business data.

7.2. License to Use Your Data

You grant us permission to use your data only as needed to:

  • Provide the services to you
  • Improve and maintain the platform
  • Comply with legal requirements
  • This permission ends when you close your account
7.3. Data Protection

We take reasonable measures to protect your data, including:

  • Encryption of sensitive information
  • Regular security updates
  • Access controls and authentication
  • Secure data centers
7.4. Your Responsibilities
  • Back up important data regularly - we're not a backup service
  • Ensure you have rights to upload any data you add
  • Don't upload illegal, harmful, or infringing content
  • Comply with privacy laws for your customers' data
7.5. When Your Account Closes
  • You can export your data before closing your account
  • We may keep your data for 30 days after account closure
  • After that, we may delete all your data permanently
  • We may retain some data as required by law

8. Acceptable Use Policy

8.1. How You Can Use Requiply

Requiply is designed for legitimate rental business operations. Use it responsibly and legally.

8.2. Prohibited Activities

You must NOT:

  • Use the service for any illegal purpose
  • Upload malware, viruses, or harmful code
  • Attempt to hack, breach, or test our security
  • Spam or send unsolicited communications
  • Scrape or extract data using automated tools
  • Resell or redistribute access to Requiply
  • Impersonate others or provide false information
  • Interfere with other users' access to the service
  • Upload content that infringes others' rights
  • Share your account with unauthorized users
8.3. Consequences of Misuse

If you violate these rules, we may:

  • Suspend your account immediately
  • Terminate your account without refund
  • Report illegal activities to authorities
  • Take legal action for damages

9. Intellectual Property Rights

9.1. What We Own

Requiply owns all rights to:

  • The platform software and code
  • Our logo, branding, and trademarks
  • Design, layout, and user interface
  • Documentation and help materials
  • Any improvements or updates we make
9.2. What You Own

You retain all rights to your data, content, and customer information.

9.3. License to Use Requiply

We grant you a limited, non-exclusive license to use Requiply for your business. This means you can:

  • Access and use the platform as intended
  • Create websites using our tools for your business

You cannot:

  • Copy, modify, or reverse engineer our software
  • Remove our branding or copyright notices
  • Create competing services based on Requiply
9.4. Feedback and Suggestions

If you provide feedback or suggestions, we can use them freely without compensation or obligation to you.

10. Service Availability and Maintenance

10.1. Service Uptime

We strive to keep Requiply available 24/7, but we cannot guarantee uninterrupted access. Service may be temporarily unavailable due to:

  • Scheduled maintenance
  • Technical issues or emergencies
  • Third-party service outages
  • Circumstances beyond our control
10.2. Maintenance
  • We perform regular maintenance to improve the service
  • We'll try to schedule maintenance during low-traffic periods
  • We'll notify you in advance when possible
  • Emergency maintenance may occur without notice
10.3. No Uptime Guarantees

We do not provide specific uptime guarantees or service level agreements (SLAs) unless separately agreed in writing.

11. Customer Support

11.1. How to Get Help

Support is available through:

  • Email support
  • Help documentation and guides
  • In-app support features
11.2. Support Scope

We provide support for:

  • Platform functionality and features
  • Technical issues with the service
  • Account and billing questions

We don't provide:

  • Custom development or coding services
  • Business consulting
  • Support for third-party integrations (contact them directly)
11.3. Response Times

We aim to respond promptly but cannot guarantee specific response times. Support is provided during business hours.

12. Cancellation and Termination

12.1. How You Can Cancel
  • You can cancel anytime by deleting your account or notifying us in writing
  • Cancellation stops future billing but doesn't refund the current period
  • You can continue using the service until the end of your paid period
  • Follow the cancellation notice periods mentioned in Section 5.2
12.2. How We Can Terminate

We may terminate your account if:

  • You violate these Terms
  • You fail to pay on time
  • You engage in prohibited activities
  • We decide to discontinue the service (with 6 months notice)
12.3. Immediate Termination

We can immediately suspend or terminate your account without notice for:

  • Serious violations of these Terms
  • Illegal activities
  • Actions that harm other users or our service
  • Repeated policy violations
12.4. After Termination
  • Your access ends immediately or at end of paid period
  • Outstanding payments become due immediately
  • You must export your data before termination - we're not obligated to provide it after
  • Provisions regarding payment, liability, and intellectual property survive termination

13. Liability and Disclaimers

13.1. "As Is" Service

Requiply is provided "as is" and "as available" without warranties of any kind. We don't guarantee that:

  • The service will be error-free or uninterrupted
  • Defects will be corrected immediately
  • The service meets all your specific requirements
  • Results obtained will be accurate or reliable
13.2. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability is limited to the amount you paid us in the 2 months before the issue occurred
  • We're only liable for direct damages, not indirect damages
  • We're not liable for lost profits, lost data, business interruption, or lost opportunities
  • We're not liable for damages caused by your misuse or third-party services
13.3. What We're Not Responsible For
  • Data loss due to your failure to back up
  • Issues caused by third-party integrations
  • Your violation of laws or regulations
  • Unauthorized access due to your security failures
  • Content or accuracy of your data
  • Actions of your employees or contractors using your account
13.4. Your Liability

You're responsible for:

  • All activities under your account
  • Content you upload or create
  • Compliance with laws affecting your business
  • Any damages you cause to us or other users
13.5. Indemnification

You agree to defend and indemnify us from any claims, damages, or costs (including legal fees) arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of laws or others' rights
  • Content you upload or create
13.6. Exceptions

These limitations don't apply to:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be limited by law

14. Force Majeure

14.1. Events Beyond Our Control

We're not liable for delays or failures caused by circumstances beyond our reasonable control, including:

  • Natural disasters (earthquakes, floods, storms)
  • War, terrorism, civil unrest
  • Government actions or regulations
  • Internet or telecommunications failures
  • Power outages
  • Pandemics or health emergencies
  • Strikes or labor disputes
  • Failures of third-party services we depend on
14.2. During Force Majeure
  • We'll make reasonable efforts to resume normal service
  • We'll communicate with you about the situation when possible
  • Your payment obligations may be suspended during extended outages

15. Changes to These Terms

15.1. How We Update Terms

We may update these Terms from time to time to reflect:

  • Changes in our services
  • Legal or regulatory requirements
  • Business needs
15.2. Notice of Changes
  • We'll post updated Terms on our website with a new "Last Updated" date
  • For significant changes, we'll notify you by email or in-app notification
  • Changes take effect 30 days after notification (or immediately for urgent legal changes)
15.3. Your Options
  • Continuing to use Requiply after changes means you accept the new Terms
  • If you don't agree, you can cancel your account before changes take effect

16. General Provisions

16.1. Entire Agreement

These Terms, together with our Privacy Policy and any individual agreement you've signed, constitute the entire agreement between us.

16.2. Confidentiality

Both parties agree to keep confidential information private, including:

  • Business information not publicly available
  • Technical details about the platform
  • Pricing and terms not publicly disclosed
16.3. Assignment
  • You cannot transfer your rights or obligations without our written consent
  • We can transfer our rights and obligations to another company (e.g., in case of sale or merger)
16.4. Severability

If any provision of these Terms is found invalid or unenforceable, the rest remains in effect.

16.5. Waiver

Our failure to enforce any provision doesn't waive our right to enforce it later.

16.6. No Partnership

These Terms don't create a partnership, agency, or employment relationship between us.

16.7. Language

The English version of these Terms is the official version. Translations are provided for convenience only.

17. Governing Law and Disputes

17.1. Governing Law

These Terms are governed by the laws of Ukraine, without regard to conflict of law provisions.

17.2. Dispute Resolution

If a dispute arises:

  • First, contact us to try to resolve it amicably
  • We'll make good faith efforts to resolve disputes through negotiation
  • If negotiation fails, disputes will be resolved in the courts of Lviv, Ukraine
17.3. Consumer Rights

If you're a consumer in the EU, you retain rights under local consumer protection laws, including the right to bring proceedings in your local courts.

17.4. EU Customers - ODR Platform

EU customers can use the European Commission's Online Dispute Resolution platform at: https://ec.europa.eu/consumers/odr
