The short answer: a rental agreement in Ukraine needs 12 core elements. The parties. An itemized equipment list with serial numbers. The rental term. The price and payment procedure. The security deposit and its return conditions. Liability for damage and loss. Late-return penalties. And a signed handover act (акт приймання-передачі) with photos. Everything else is detail. One damaged generator returned "like that when I got it" costs more than a year of printing agreements. Yet many small rentals in Ukraine still hand over equipment against a phone number and good faith. This article covers what goes in the agreement, how the deposit works legally, and how to cut the paperwork to 2 minutes per booking instead of 15.

This is practical guidance, not legal advice. For non-standard cases like expensive machinery, corporate leasing, or international clients, have a lawyer review your template once. That one review costs less than one dispute.

Ukrainian law separates general rent (оренда/найм, Civil Code art. 759+) from прокат (art. 787–791). Prokat means renting movable items to consumers, usually by a business that does it systematically. Prokat is a public agreement. You offer the same standard terms to everyone. That is exactly why a standard template works.

What follows from this? You can and should set standard terms, publish a price list, and use one model agreement every customer signs. But the client's liability for damage, the deposit, and late-return penalties only hold if they are written and signed. An Instagram DM saying "you break it, you buy it" will not help you in a dispute.

The 12 Clauses Every Rental Agreement Needs

1. Parties

Your business details: FOP or LLC name, tax code, address. The client's full name, ID document details, and phone. For corporate clients, add the company name, its code, and the signatory's authority.

2. Subject of the agreement

An itemized list. Name, model, serial number, and declared value of every item and accessory. "Camera kit" is not enough. "Sony A7 IV body SN 0331408, Tamron 28–75 SN 044xxx, 2 batteries, charger, bag" is what wins the dispute about a missing lens.

3. Rental term

Start and end date and time. And, critically, what counts as a return: equipment physically accepted by your staff and the return act signed. "I left it with your neighbor" is not a return.

4. Price and payment

Rate, total for the term, payment method and timing. Prepayment, on pickup, or split. If you charge for delivery, cleaning, or fuel, list them here as separate line items. Setting the rates themselves is a separate topic. See our equipment rental pricing guide.

5. Security deposit (zastava)

Amount, form (cash, card transfer, card hold), and exact return conditions. When is it returned in full? What can be withheld, and how is the withholding calculated? A repair invoice or a valuation act. Add the deadline too. For example: "returned within 3 business days after the return act is signed, net of documented deductions."

6. Handover act

The act is the evidentiary core of the whole agreement. There's a dedicated section on it below. The agreement itself should state that handover and return each happen by signed act with photo fixation.

7. Client's obligations

Use per the manual. No subleasing. No disassembly or DIY repairs. Report breakdowns immediately. Return the item clean, or pay the cleaning fee from clause 4.

8. Liability for damage and loss

The formula that matters: repairable damage means the client pays the documented repair. Loss or irreparable damage means the client pays the declared value from clause 2, minus reasonable wear. Declared values in the item list are what make this clause executable.

9. Late returns

A per-day charge for late return. Commonly the daily rate plus a surcharge, say 150–200% of the daily rate per day of delay. This clause turns "sorry, I forgot" into a number.

10. Normal wear vs. damage

State that normal operational wear is included in the price. This clause protects the client. Having it in writing stops the opposite argument ("scratch = pay for repainting") from escalating disputes.

11. Force majeure and dispute resolution

Standard clauses. Force majeure per Ukrainian Chamber of Commerce practice. Disputes: negotiation first, then court at your registered location.

12. Details and signatures

Full details of both parties. Signatures on every page, or a signature plus initialed pages.

The Handover Act: Where Disputes Are Actually Won

The agreement sets the rules. The act records the facts. Do two acts per rental, one at handover and one at return. Each includes:

  • Date and exact time
  • List of items with serial numbers (a reference to the agreement's list is fine)
  • Condition description: existing scratches, dents, defects, fuel level, hour-meter reading for machinery
  • Photos: 4–6 angles per significant item, taken at handover with the client present
  • Both signatures

The photo set is what turns "it was already scratched" into a 30-second conversation instead of a lost deposit dispute. Store the photos attached to the booking, not in someone's phone gallery. How the Deposit Should Work Operationally

Deposits fail in practice for boring reasons. Cash taken and not recorded. Refunds forgotten. Partial withholdings argued verbally. The process that works:

  1. Record the deposit on the booking the moment you take it. Amount, form, who accepted it.
  2. At return, inspect against the handover act and photos, with the client present.
  3. Refund immediately if everything is fine. Same day, same channel the deposit came in.
  4. If withholding, document it. Photo of the damage. Repair invoice or estimate. A one-line calculation the client signs or receives in writing.

Common Mistakes

No serial numbers or declared values in the item list. The liability clause becomes unenforceable.
One act instead of two. Without a return act, 'when was it damaged' has no answer.
No photos at handover. Every scratch becomes a your-word-against-theirs dispute.
Deposit terms agreed verbally. Refund deadlines and withholding rules belong in the agreement.
No late-return clause. Your calendar gets wrecked and you have no recourse.
